sending unit removal

Is it clock wise or counter clockwise to remove the retaining ring from a k5 gas tank so that I can remove the sending unit?

Counter clockwise to remove the ring.

arg! thanks... no wonder why it would not move.

So I take it then that I'll need to bend the 3 tabs flat.

You don't need to bend anything. The ring moves opposite whatever direction the stops are that keep the ring from rotating in one direction.
